Commercial agency law

Commercial agency law deals with the rights and obligations of a commercial agent and is regulated in Sections 84-92 of the Commercial Code.

A commercial agent is anyone who undertakes commercially to broker transactions for other entrepreneurs or to conclude transactions on their behalf, Section 84 I 1 of the German Commercial § 84 I 1 HGB. Under commercial agency law, a commercial agent does not have to be a natural person; he can also be an OHG or GmbH, for example. The commercial agent is usually a businessman, but this is not mandatory, see Section 84 IV of the German Commercial Code (HGB).

A sales representative in commercial agency law is a so-called sales assistant; he supports companies in bringing their products to the end buyer.

The commercial agent can work for one or more companies in commercial agency law (single-company/multi-company representative). He either only mediates between the company and the customer (brokerage agent) or, as a representative of the company, he concludes contracts with the customers himself (final agent). A special form of commercial agent in commercial agency law is the district representative, to whom the entrepreneur assigns a specific district or customer group, in which commission claims arise even if contracts are concluded without his involvement, cf. § 87 II HGB.

In commercial agency law, the commercial agent must be distinguished from the commercial broker and the commission agent. In contrast to the commercial agent in commercial agency law, the commercial broker is not permanently entrusted with the brokerage; the commission agent, in contrast to the commercial agent in commercial agency law, acts in his own name.
