Ortak karar alma hakk\u0131, mutlaka ba\u011flay\u0131c\u0131 davran\u0131\u015f kurallar\u0131n\u0131n olmas\u0131n\u0131 gerektirmez. \u0130\u015fverenin tedbirinin \u00e7al\u0131\u015fanlar\u0131n davran\u0131\u015flar\u0131n\u0131 kontrol etmeye veya \u015firkette d\u00fczeni sa\u011flamaya y\u00f6nelik olmas\u0131 yeterlidir. <\/p>\n<p> Bireysel d\u00fczenlemelerde ortak karar alma hakk\u0131, mutlaka i\u015fin tamam\u0131nda ortak karar alma hakk\u0131n\u0131 te\u015fkil etmez. BetrVG&#8217;nin 87. Maddesine g\u00f6re ortak karar verme hakk\u0131, veto hakk\u0131 de\u011fildir; \u0130\u015f konseyinin sessizli\u011fi r\u0131za olarak g\u00f6r\u00fclemez. Sorumlu i\u015flerin anayasas\u0131 organ\u0131n\u0131n sadece ortak karar alma hakk\u0131n\u0131n var oldu\u011funu d\u00fc\u015f\u00fcnmedi\u011fini belirtmesi yeterli de\u011fildir. \u00d6zel durumlar olmad\u0131k\u00e7a, de\u011fi\u015fiklik s\u00f6zle\u015fmesinde ortak karar verme hakk\u0131n\u0131n korundu\u011funu g\u00f6sterme ve ispat y\u00fck\u00fc i\u015fverene aittir. S\u00f6zle\u015fmenin temelinde \u00e7al\u0131\u015fanlar\u0131n zarar\u0131na bir bozulma olmas\u0131 durumunda, i\u015fverenin makul takdirine ba\u011fl\u0131 olarak kullanmas\u0131 gereken performans\u0131 belirleme konusunda tek tarafl\u0131 bir hakk\u0131 vard\u0131r. Yararlan\u0131c\u0131, hak talebinde bulunurken bu hakk\u0131n kullan\u0131lmas\u0131na izin vermelidir.
