Il devrait y avoir une obligation d&rsquo;effectuer un travail et, en m\u00eame temps, les modalit\u00e9s de traitement telles que les indemnit\u00e9s de d\u00e9part, la d\u00e9livrance de certificats et la restitution des biens de l&rsquo;entreprise devraient \u00eatre r\u00e9glement\u00e9es.[\/vc_column_text][vc_column_text css=\u00a0\u00bb.vc_custom_1700472292174{padding-top: 10px !important;padding-bottom: 10px !important;}\u00a0\u00bb]Ist die Beendigungsvereinbarung jedoch in einem vom Arbeitgeber f\u00fcr eine Vielzahl von F\u00e4llen vorformulierten Vertrag enthalten, der als \u201eErg\u00e4nzung zum Arbeitsvertrag\u201c zu gleich den \u00dcbertritt des Arbeitnehmers in eine \u201ebetriebsorganisatorisch eigenst\u00e4ndige Einheit\u201c regelt, kann es sich je nach den Umst\u00e4nden um eine ungew\u00f6hnliche Be stimmung handeln, die gem. \u00a7 305c Abs. 1 BGB ne fait pas partie du contrat. Dans son arr\u00eat du 19 juillet 2007 ( 6 AZR 774\/06 ), le VIe S\u00e9nat a d\u00e9cid\u00e9 que la conclusion d&rsquo;un contrat \u00e9crit de service de gestion entre un salari\u00e9 et son employeur peut \u00e9galement inclure la rupture mutuelle de la relation de travail.[\/vc_column_text][vc_column_text css=\u00a0\u00bb.vc_custom_1700472309141{padding-top: 10px !important;padding-bottom: 10px !important;}\u00a0\u00bb]Le contrat de service du directeur g\u00e9n\u00e9ral pose les relations contractuelles entre les parties sur une nouvelle base et cr\u00e9e de nombreux nouveaux droits et obligations pour l&#8217;employ\u00e9 en vertu de la loi sur la GmbH. Il doit donc \u00eatre clair pour un salari\u00e9 que sa relation de travail prend fin avec la conclusion d&rsquo;un tel contrat et sa nomination en tant que directeur g\u00e9n\u00e9ral. Si la rupture de la relation de travail n&rsquo;a pas \u00e9t\u00e9 express\u00e9ment convenue, il convient de d\u00e9terminer, en interpr\u00e9tant l&rsquo;accord \u00e9crit conclu, si l&rsquo;intention de mettre fin \u00e0 la relation de travail par consentement mutuel a \u00e9t\u00e9 exprim\u00e9e dans l&rsquo;accord \u00e9crit. Des circonstances ext\u00e9rieures au document peuvent \u00eatre prises en compte si la volont\u00e9 juridique pertinente des parties a trouv\u00e9 son expression, m\u00eame imparfaite, dans le document formel.
