La responsabilidad de los actores requiere que la empresa ya est\u00e9 constituida pero a\u00fan no haya sido inscrita en el registro mercantil. Seg\u00fan sentencia del Quinto Senado del 12 de julio de 2006 ( 5 AZR 613\/05 ), la verdadera persona jur\u00eddica tiene derecho y obligaci\u00f3n en un negocio jur\u00eddico si act\u00faa en nombre de una sociedad an\u00f3nima o antes de que se establezcan los estatutos. (art\u00edculo 23 AktG) de una sociedad an\u00f3nima en proceso de constituci\u00f3n, siempre que la persona que act\u00fae est\u00e9 autorizada para ello. En caso contrario, la persona que act\u00faa ser\u00e1 responsable seg\u00fan el art\u00edculo 179 del C\u00f3digo Civil alem\u00e1n (BGB). Esto corresponde a la jurisprudencia del Tribunal Federal de Justicia sobre el art\u00edculo 11, apartado 1. 2 GmbHG, seg\u00fan el cual la responsabilidad de los actores desaparece antes de la fundaci\u00f3n de la sociedad matriz. Durante esta etapa la responsabilidad se rige por principios generales de representaci\u00f3n. Responsabilidad del representante sin poder de representaci\u00f3n seg\u00fan el art. 179 p\u00e1rr. 1 BGB no s\u00f3lo entra en consideraci\u00f3n si el representante act\u00faa en nombre de un tercero sin poder legal o de representaci\u00f3n legal. Bas\u00e1ndose en la jurisprudencia del Tribunal Federal de Justicia, el Quinto Senado decidi\u00f3 que la disposici\u00f3n se aplicar\u00e1 en consecuencia cuando alguien celebre acuerdos contractuales en nombre de una persona que no existe, es decir, que la persona supuestamente representada ni siquiera existe. Seg\u00fan una decisi\u00f3n del D\u00e9cimo Senado del 25 de enero de 2006 (10 AZR 238\/05), los accionistas de una Vor GmbH pueden ser demandados directamente si la Vor GmbH no tiene activos. Este tambi\u00e9n puede ser el caso si se inicia un procedimiento de ejecuci\u00f3n integral, pero debido a la insuficiencia de activos de conformidad con el \u00a7 19, p\u00e1rr. 1 GesO n\u00ba 3 en combinaci\u00f3n con Art. 103 a EGInsO ha sido descontinuado y el administrador general de ejecuci\u00f3n no ha incluido los cr\u00e9ditos de cobertura de p\u00e9rdidas correspondientes a los cr\u00e9ditos de los acreedores. No es razonable que el acreedor participe en el procedimiento general de ejecuci\u00f3n si est\u00e1 objetivamente seguro de que la satisfacci\u00f3n de sus cr\u00e9ditos es imposible debido a su mala clasificaci\u00f3n. Incluso entonces, hay falta de riqueza. El requisito de que Vor GmbH no tenga activos debe determinarse de forma objetiva y retrospectiva.
